These Terms govern Art.Industries, operated by mutant devices LLC, a Delaware limited liability company in the United States (“we”, “us”). They explain the responsibilities of customers and authorized users of our software, and the limits of our role when a customer publishes a website, sends a message, or makes a sale. A separate agreement we expressly enter into with you can supplement or replace specified provisions of these Terms.

1. The service and the customer relationship

Art.Industries provides tools for art inventory and collection records, contacts, files, websites, viewing rooms, email, events and applications, invoicing, and related business workflows. Available features depend on your plan, configuration, and permissions. Creating an account or ordering a service requires agreement to the terms presented for that action. If you act for a business, you must be authorized to accept obligations for it. The business is the customer; its invited users must follow the terms applicable to their use.

Visiting a customer's site or buying from it is a separate relationship. The customer is responsible for its content, offers, communications, and sales terms. Unless a particular transaction expressly identifies Art.Industries as the seller, we provide the software and are not the seller, consignor, artist, appraiser, or guarantor of the work or service. These Terms do not replace the customer's terms or a buyer's mandatory rights. Our Privacy policy explains the associated data responsibilities.

2. Accounts and workspace authority

Provide accurate account and billing information, use an account you are entitled to access, and protect your sign-in methods and devices. Tell us promptly if you suspect unauthorized access. Workspace administrators control membership and permissions; the customer is responsible for authorizing its users and reviewing their access. Do not share access in a way that bypasses those controls or impersonate another person. You must have the legal capacity and authority needed for the actions you take.

3. Your records, content, and publishing choices

You retain your rights in the records, images, documents, text, and other material you provide (“Customer Content”). You give us a non-exclusive permission to host, copy, process, transmit, and display that content as needed to provide your requested service, including authorized collaboration, imports, support, backups, and publishing. We may use service providers for those tasks. This permission does not transfer ownership of your content to us.

You must have the rights and permissions needed for the content and the way you use it, including copyright, image rights, confidentiality obligations, and personal-data permissions. Check the audience, files, prices, and permissions before publishing or sharing. A private link can be forwarded; a published page, delivered email, or exported file can be retained outside the service. Keep appropriate independent records and use available exports for your business's continuity needs.

4. Use the service lawfully and safely

  • Do not upload unlawful or infringing material, disclose information you must keep confidential, or use the service to deceive, harass, discriminate unlawfully, or exploit another person.
  • Do not distribute malware, evade access controls or service limits, interfere with other users, or probe systems without authorization. Report suspected vulnerabilities privately to our support address.
  • Do not send spam, use unlawfully obtained recipient lists, misrepresent a sender, or defeat unsubscribe, suppression, or consent controls.
  • Do not extract other customers' information or copy protected parts of the service without permission. This does not restrict an export or interoperability right granted by law.

5. Records and professional decisions

Check imported records, calculations, documents, and recipient selections before relying on them. Software does not independently verify an artwork's authenticity, title, provenance, value, or condition. Our tools and documents are not a substitute for legal, tax, accounting, or other advice from an appropriately qualified professional. These limits do not excuse us from obligations the law places on our own service.

6. Email, forms, and audience responsibilities

If you collect information through a site, group, event, or application, you are responsible for an appropriate notice, lawful collection, and the choices required for that audience. For campaigns and other communications, you are responsible for sender identity, the basis for contacting recipients, required consent, and honoring objections and unsubscribe requests. Importing a contact does not establish marketing permission.

The service includes delivery, unsubscribe, and suppression mechanisms, but they do not make every message lawful or guarantee delivery. Opens and clicks are estimates affected by privacy tools, image blocking, and automated scanning. Account, security, billing, and other operational messages can remain necessary independently of marketing subscriptions.

7. Fees, renewal, cancellation, and refunds

The purchase or plan-change screen, billing settings, or an agreed order form identifies the applicable plan, add-ons, usage limits, price, currency, billing interval, taxes, and any trial conditions. Check those details before confirming. A trial converts to paid service only on the conditions disclosed for that offer. You authorize the agreed charges to the payment method you provide; Stripe processes platform payments and may issue payment records.

Recurring services renew as disclosed at purchase until cancelled. Use the cancellation controls in billing settings or contact support if you cannot access them. Cancellation stops future renewal as stated in the product; it does not itself delete the workspace, reverse a completed payment, or discharge amounts already due. Domain registrations, usage charges, and separately ordered services can have their own disclosed charges and renewal terms.

For business customers, subscription and recurring add-on fees are generally non-refundable once charged unless the applicable offer or a separate agreement provides otherwise. This does not exclude a refund, withdrawal, cancellation, or other remedy required by law, including mandatory consumer rights. Tell us promptly about a suspected billing error. Failed or overdue payments can result in restrictions or suspension as described in the product and subject to applicable notice requirements.

8. Customer sales and external services

A customer using sales features is responsible for its offer, authority to sell, buyer disclosures, taxes, authenticity and condition descriptions, fulfillment, and lawful refunds or cancellations. Stripe's payment and connected-account terms apply to its processing, verification, and payouts. A payment, shipping estimate, or software-generated document is not a guarantee of settlement, delivery, customs clearance, or legal sufficiency. Check any separate conditions presented for a domain registration or other service you order.

External services can change, decline a request, or become unavailable. We remain responsible for our own contractual and statutory obligations, but cannot promise another provider's decisions or performance. Review the provider and customer terms applicable to the particular transaction.

9. Personal information and processing arrangements

Our Privacy policy describes our processing and the distinction between platform operations and customer-controlled information. Customers remain responsible for the purposes, legal bases, notices, and permissions for their records and audiences. Contact support@art.industries to establish the processing terms and provider information required for your use. These Terms and a privacy notice are not a substitute for a data processing agreement or international-transfer arrangement where one is legally required.

10. Service changes, restrictions, and ending use

We maintain and update the service, and availability can be affected by maintenance, failures, or external providers. Unless expressly agreed, these Terms do not promise uninterrupted availability or a particular support response time. We may restrict or suspend access where necessary for a material breach, a security or abuse risk, non-payment, or a legal requirement. Where reasonably practicable and appropriate, we will explain the reason and give an opportunity to address a remediable issue; urgent risks can require immediate action.

You may stop using the service, subject to the cancellation and payment obligations above. Before ending a workspace, arrange authorized exports and transfers of records you need. Ask support about access or retrieval if a restriction prevents this. Ending use does not require us to erase records we must lawfully retain or override a customer's authority over its workspace. Retention and deletion are addressed in our Privacy policy and any applicable processing agreement.

11. Our software and third-party rights

We and our licensors retain rights in the software, service design, documentation, and Art.Industries branding. Your right to use the service is limited to the applicable agreement and does not transfer those rights. Third-party and open-source components remain subject to their applicable licenses. This section does not take ownership of Customer Content or restrict rights that cannot lawfully be restricted.

12. Business liability and rights the law protects

For business customers, to the extent permitted by law, the service is provided as available and without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not promise that software or customer records will be error-free. Express commitments in an applicable agreement remain in effect.

For business customers, to the extent permitted by law, we are not liable for indirect or consequential losses, including lost profits or business opportunities. Our total liability for claims arising from the service is limited to the greater of the fees you paid us for the service during the twelve months before the event giving rise to the claim or USD $100. These limitations apply to related claims together, rather than separately to each claim.

These limits do not exclude or limit fraud, wilful misconduct, death or personal injury caused by negligence, or any liability or remedy that the law does not allow us to exclude or limit. Nothing in these Terms removes mandatory consumer protections, data-protection rights, or statutory remedies. If you use the service as a consumer, the business-customer exclusions and cap above do not apply to rights that protect you by law.

13. Claims concerning Customer Content or misuse

A business customer is responsible for third-party claims arising from its unlawful Customer Content or its intentional misuse of the service, to the extent attributable to that customer. If we seek reimbursement of reasonable resulting costs, we will notify the customer promptly, allow it to participate in the defence, and cooperate reasonably. We will not agree to a settlement imposing an admission or non-monetary obligation on that customer without its consent. This provision does not cover loss caused by our own breach or misconduct and does not impose a consumer indemnity.

14. Governing law, disputes, and updates

For business customers, Delaware law governs these Terms, excluding its conflict-of-laws rules, and disputes may be brought in the competent state or federal courts in Delaware, United States. Mandatory laws and any court or regulator you are legally entitled to approach remain available. Consumers retain the protections and court rights that mandatory law gives them in their country of residence. These Terms do not require binding arbitration or a waiver of class or collective proceedings.

Contact us if a problem arises so we can try to resolve it. Doing so is not a condition of using a statutory remedy or approaching a regulator. We will identify changes by updating the date on these Terms and provide additional notice or seek agreement where required. New terms do not retrospectively remove accrued rights. If a provision is unenforceable, the remaining provisions continue only to the extent permitted by law.
